Waste Centric Service Terms

  1. introduction
    • These Independent Application Services Terms (“Independent Application Services Terms “) of Waste Centric Proprietary Limited (company registration number 2021/443103/07) (“Waste Centric”, “us” or “we”) applies to such applicable “Application Services” (as defined in the Commercial Terms and Conditions (“Online Terms“), available on the Website) used by you and shall apply, in addition to such terms and conditions set out in the Online Terms, upon your use of the Application Services, whichever is relevant.
    • Unless specified otherwise herein, the terms defined in the Online Terms shall have the same meaning set out in these Independent Application Services Terms.
    • For purposes of these Independent Application Services Terms and the Online Terms, the following terms shall have the following meaning:
      • “Application Documentation” means the applicable ‘Services’ Trust and Compliance documentation, and its usage guides and policies, as updated from time to time, accessible via help.salesforce.com and accessible here;
      • “Org” or “Organization” means a unique instance of the Services, i.e., a separate set of User Data and User-specific Services customizations held by SFDC in a logically separated database (i.e., a database segregated through password-controlled access); and
      • “Services” means the products or services made available online by SFDC, including associated offline or mobile components, as described in the Application Documentation.
  1. Waste Centric Force.com Embedded User Subscription
    • Should you opt to use the following Application Service:

Waste Centric Force.com Embedded User Subscription (“Embedded User Subscription Services“),

you agree to the following additional terms and conditions, as set out in this clause 2, in addition to those provided in terms of the Online Terms.

  • Waste Centric and SFDC may audit use of subscriptions to the Embedded User Subscription Services via the ‘SFDC Services’ and Application Services and SFDC may provide the results of such audit to Waste Centric.
  • Embedded User Subscription Services cannot be provisioned to a User Org, without at least one Embedded Admin User Subscription purchased in terms of the Online Terms and these Independent Application Services Terms.
  • The Embedded User Subscription Services shall be used exclusively in combination with the Software.
  • Should any audit reveal any unauthorized use of the Embedded User Subscription Services, you will be responsible to reimburse Waste Centric, within 21 (twenty-one) days from notice by Waste Centric to you, for your use of the full-use version of the subscription in the same Org showing unauthorized use (taken as a group), beginning with the date of the first violation through the end of the then-current subscription term (the “Prohibited Use Penalty”).
  • Upon payment of the Prohibited Use Penalty, all Application Services subscriptions showing unauthorized use will be converted into full-use subscriptions at Waste Centric’s then-current list pricing for such full-use subscriptions for the remainder of the then-current subscription term or subsequent terms during the term of the Terms.
  • The Embedded User Subscription Services may be used by User to access and create up to 10 (ten) additional custom objects (“Custom Objects“), provided that such Custom Objects are within the scope of the Software and for use solely with the Software.
  1. Waste Centric Force.com Embedded Admin User Subscription
    • Should you opt to use the following Application Service:

Waste Centric Force.com Embedded Admin User Subscription (“Embedded Admin User Subscription Services“),

you agree to the following additional terms and conditions, as set out in this clause 3, in addition to those provided in terms of the Online Terms.

  • Waste Centric and SFDC may audit use of subscriptions to the Embedded Admin User Subscription Services via the Application Services and SFDC may provide the results of such audit to Waste Centric.
  • Should any audit reveal any unauthorized use of the Embedded Admin User Subscription Services, you will be responsible to reimburse Waste Centric, within 21 (twenty-one) days from notice by Waste Centric to you, for your use of the full-use version of the subscription, beginning with the date of the first violation through the end of the then-current subscription term (the “Prohibited Use Penalty“). Should such unauthorized use be via a Customer Org, the Prohibited Use Penalty shall apply to all of the subscriptions in the same Customer Org showing unauthorized use (taken as a group).
  • Upon payment of the Prohibited Use Penalty, all Application Services subscriptions showing unauthorized use will be converted into full-use subscriptions at Waste Centric’s then-current list pricing for such full-use subscriptions for the remainder of the then-current subscription term or subsequent terms during the term of the Terms.
  • Regarding subscriptions for Embedded Admin User Subscription Services (“Admin User Subscription“):
    • An Admin User Subscription is required per User Org and should be included in all initial service orders;
    • 1 (one) Admin User Subscription should be ordered for every 50 (fifty) user subscriptions, the particular user being an “Admin User“);
    • If more than 1 (one) Admin User Subscription is required, additional Admin User Subscriptions are available for purchase;
    • Admin User Subscriptions may be used by the User only to configure and administer the relevant Application Services in support of such User’s use of the Software.
    • An Admin User Subscription may not be used to access, distribute, or use any CRM functionality, whereas “CRM” functionality is defined as access to standard Salesforce objects through standard tabs, related lists in custom tabs, through the SFDC web services API or through reports and dashboards. Standard Salesforce objects include, without limitation, campaigns, leads, opportunities, cases, solutions and forecasts.
    • This Admin User Subscription may be used by the applicable customer user (being the User) to access and create up to 10 (ten) additional custom objects (“Custom Objects“), provided that such Custom Objects are within the scope of the Software and for use solely with the Software.
  • The following terms shall govern all of User’s use of “Sandbox” (as defined in the Application Documentation) subscriptions:
    • Sandbox subscriptions are for testing and development use only, and not for production use;
    • as part of its system maintenance, SFDC may delete any Sandbox that a User has not logged into for 150 (one hundred and fifty) consecutive days. 30 (thirty) or more days before any such deletion, SFDC will notify Admin User for the Org from which the Sandbox was created (email acceptable) that the Sandbox will be deleted if User does not log into it during that 30 (thirty) day (or longer) period; and
    • deletion of a Sandbox shall not terminate User’s Sandbox subscription; if a Sandbox is deleted during User’s Sandbox subscription term, the Admin User for the Org may create a new Sandbox.
  • The following terms shall govern all of User’s use of the “Scratch Orgs” (as defined in the Application Documentation) functionality:
    • Scratch Orgs are for testing and development use only, and not for production use;
    • as part of its system maintenance, SFDC will periodically delete any Scratch Org, including any associated data or “Active Scratch Objects”, as defined and set forth in the Application Documentation;
    • deletion of an active Scratch Org shall not terminate a User’s Scratch Org subscription; if an active Scratch Org is deleted during a User’s Scratch Org subscription term, User may create a new active Scratch Org;
    • creation of new active Scratch Orgs count towards the daily Scratch Org limits set forth in the Application Documentation;
    • any representations, warranties and covenants from SFDC regarding log retention, back-ups, disaster recovery, and return and deletion of data shall not apply to Scratch Orgs.
  1. Waste Centric Force.com Embedded Partner Admin User Subscription
    • Should you opt to use the following Application Service:

Waste Centric Force.com Embedded Partner Admin User Subscription (“Embedded Partner Admin User Subscription Services“),

you agree to the following additional terms and conditions, as set out in this clause 4, in addition to those provided in terms of the Online Terms.

  • Waste Centric and SFDC may audit use of subscriptions to the Embedded Partner Admin User Subscription Services via the Application Services and SFDC may provide the results of such audit to Waste Centric.
  • Should any audit reveal any unauthorized use of the Embedded Partner Admin User Subscription Services, you will be responsible to reimburse Waste Centric, within 21 (twenty-one) days from notice by Waste Centric to you, for your use of the full-use version of the subscription, beginning with the date of the first violation through the end of the then-current subscription term (the “Prohibited Use Penalty“). Should such unauthorized use be via a Customer Org, the Prohibited Use Penalty shall apply to all of the subscriptions in the same Customer Org showing unauthorized use (taken as a group).
  • Upon payment of the Prohibited Use Penalty, all Application Services subscriptions showing unauthorized use will be converted into full-use subscriptions at Waste Centric’s then-current list pricing for such full-use subscriptions for the remainder of the then-current subscription term or subsequent terms during the term of the Terms.
  • Regarding subscriptions for Embedded Partner Admin User Subscription Services (“Partner Admin User Subscription“):
    • Partner Admin User Subscriptions may be used by the User only to configure and administer the relevant Application Services in support of such User’s use of the Software.
    • A Partner Admin User Subscription may not be used to access, distribute, or use any CRM functionality, whereas “CRM” functionality is defined as access to standard Salesforce objects through standard tabs, related lists in custom tabs, through the SFDC web services API or through reports and dashboards.     • This Partner Admin User Subscription may be used by the applicable customer user (being the User) to access and create up to 10 (ten) additional custom objects (“Custom Objects“), provided that such Custom Objects are within the scope of the Software and for use solely with the Software.
  • The following terms shall govern all of the User’s use of “Sandbox” (as defined in the Application Documentation) subscriptions:
    • Sandbox subscriptions are for testing and development use only, and not for production use;
